Zinnov has advised Akkodis, a global digital engineering consulting company, on its acquisition of AXISCADES Technologies’ engineering services business. Zinnov served as the sole financial adviser to Akkodis, supporting the transaction through capability evaluation, valuation and deal structuring, due diligence, regulatory coordination and transaction execution.
The transaction strengthens Akkodis’ engineering capabilities and expands its delivery capacity in India. The AXISCADES engineering services business has capabilities across heavy engineering, energy and automotive sectors, adding specialist expertise to Akkodis’ existing digital engineering portfolio. The deal also reflects the growing interest among global consulting and engineering companies in using acquisitions to expand their technology and delivery capabilities.
The transaction is also significant for AXISCADES as the company continues to reshape its business portfolio. Its engineering services divestment forms part of a broader move from a services-led organization toward a products and intellectual-property-focused platform covering areas including aerospace, defence, electronics, semiconductors and AI.
“We are pleased to have advised AXISCADES on this landmark transaction. The sale of AXISCADES engineering services division to Akkodis is a strategic, synergistic transaction that marks a milestone for both businesses,” said Sathya Ramanathan, Managing Director, Lincoln International.
For Zinnov, the transaction demonstrates the expanding role of consulting firms in complex M&A assignments. Its work involved more than traditional financial advisory, covering strategic evaluation, transaction structuring and coordination across multiple geographies and regulatory environments. This highlights how consulting and advisory firms are increasingly involved throughout the lifecycle of technology and engineering transactions.
The deal also gives Akkodis an opportunity to combine AXISCADES’ engineering expertise with its own digital engineering and consulting capabilities. Akkodis operates across consulting, solutions and talent services, with a focus on helping organizations advance digital transformation and address technology-led business challenges.
For AXISCADES, the divestment allows the company to sharpen its focus on its remaining strategic businesses while transferring the engineering services operation to a global technology and engineering player. This type of portfolio restructuring is becoming increasingly relevant as companies seek to concentrate investment on areas where they see stronger long-term growth opportunities.
The transaction further highlights the importance of India as an engineering and technology delivery hub. Global engineering and consulting companies continue to look toward India's talent pool to expand their ability to support international customers. For Akkodis, strengthening its Indian delivery capabilities can provide additional scale while complementing its global engineering network.
The Zinnov-Akkodis-AXISCADES transaction therefore represents more than a straightforward acquisition. It brings together management consulting, M&A advisory, digital engineering and strategic business transformation. It also shows how consulting firms such as Zinnov are becoming important partners in helping technology and engineering companies evaluate acquisitions, structure complex deals and execute cross-border transactions.
As demand grows for digital engineering, AI, advanced technology and specialized engineering services, similar transactions could become increasingly important across the consulting and technology ecosystem. For consulting firms, the ability to combine strategic advice with transaction expertise and industry knowledge could become a key differentiator in an increasingly competitive market.
