WTW has entered into an agreement with Sapien Software to provide global HR and deal intelligence solutions for mid-market companies involved in mergers, acquisitions and divestitures. The partnership, announced on September 30, 2026, combines WTW’s M&A consulting capabilities with Sapien’s human capital management technology.
The collaboration will be delivered through WTW’s Human Capital Divestitures in a Box (DIAB) solution. The offering is designed as a packaged HR solution for companies managing corporate transactions, supporting both buyers and sellers during the transition process.
WTW’s DIAB solution brings together HR management, human capital management, payroll administration, international benefits administration and managed services. The companies said the solution is designed to be globally scalable and help organizations prepare their HR operations for transaction close.
“WTW’s Divestitures in a Box solution enables companies to accelerate day one readiness across all HR plans, programs, and systems, reduce companies’ reliance on Transition Services Agreements (TSAs), and enhance both corporate and employee experiences during transactions,” said Perry Papantonis, Senior Managing Director and Global M&A Leader at WTW.
The partnership also brings Sapien’s HR software and data intelligence capabilities into WTW’s M&A offering. Sapien’s platform is designed to help organizations collect, organize and model workforce data during the transaction process. The technology can also operate as a global Human Resources Information System after a transaction is completed.
WTW said its M&A consulting expertise covers areas including due diligence, deal planning, workforce integration and employee communication. By combining these capabilities with Sapien’s technology, the companies are targeting HR requirements that arise before, during and after a divestiture or acquisition.

The combined solution is also designed to reduce reliance on Transition Services Agreements, commonly used when a business being separated continues to receive certain services from its former parent company for a temporary period. The companies said their approach can help organizations establish standalone HR capabilities around Day One of a transaction.
Sapien’s technology includes AI-enabled decision-support capabilities and built-in managed services. The platform supports functions such as employee administration, benefits, payroll, performance management, compensation, succession planning and reporting.
For WTW, the agreement expands its M&A consulting offering for the global mid-market by adding technology focused on workforce data and HR operations. For Sapien, the partnership extends the reach of its HR software into WTW’s transaction advisory work.
The companies said the combined offering is intended to give organizations a single, scalable solution for managing HR requirements associated with divestitures, mergers and acquisitions, from transaction planning through post-close operations.
